Remarks
(1) Buyer are requested:
1.to sign and return one copy of this sales confirmation immediately after receipt.Objection,if any,should be raised by buyer within 5 days after the receipt of this sales confirmation,in the absence of which it is understood that buyer has accepted the terms and conditions of the sales confirmation.
2.to open the covering L/C or T/T as the above requests in payment terms,otherwise seller reserve the right to rescind without further notice or to accept whole or any part of this sales confirmation not fulfilled by buyer,or to lodge a claim for losses this sustained of any.
3.to submit the whole and final information about Package,shipping mark,shipping forwarder as the above requests in 7,8 and 9,otherwise seller shall not be held liable for failure or delay in delivery and reserve the right to lodge a claim for losses this sustained of any.Any changes in package and shipping mark requested by buyer are not acceptable in principle.it’s at seller’s option to accept or not according to practical situation,and buyer should bear all the resulting losses.
(2) Quality/Quantity discrepancy
In case of quality or quantity discrepancy,claim should be filed by buyer within 15 days after the arrival of the goods at port of destination.It is understood that seller shall not be liable for any discrepancy of the goods shipped due to causes for which the insurance company,shipping company,other transportation organization/or post office are liable.
(4) Force Majeure
Seller shall not be held liable for failure of part failure to perform this sale of confirmation on consequence of flood,fire.earthquake,drought,war,or any other causes of force majeure.
(5) Intellectual property
If seller provides the design of goods under this sales confirmation,including but not limited design of package,drawing of mark on the goods,design of goods tiself,color arrangement of pair of group,seller has intellectual property of the goods solely and buyer should not infringe it in any form;If buyer provides the design of goods under this sales confirmation,buyer shall assure that there is no third party claim the intellectual property of the design of goods provided by buyer;otherwise buyer should pay all the damages of seller caused by third parties’claim on infringement of the design of intellectual property provided by buyer.
(6) Arbitration
All disputes in connection with this sales confirmation or the execution thereof shall settled by negotiation between two parties.If no settlement can be reached.the case in dispute shall then be submitted to China international Economic and Trade Arbitration Commission(CIETAC)in Beijing in accordance with the arbitration regulations of CIETAC.The award of the arbitration shall be final and binding upon both parties.The arbitration fee shall be borne by the losing party unless otherwise awarded by the arbitration organization.
